Texas LLC formation time depends on document preparation, the filing method, and the state’s review queue. Standard expedited review is typically 2–3 business days; Texas Express also offers next-day and same-day review, subject to fees, cutoff times, and service availability. These are review targets, not guaranteed approval dates.
Updated September 29, 2026: SOSPortal has replaced SOSDirect and SOSUpload for online business filings. This guide covers Texas LLC processing time, expedited review, and checking a submission in the new system. For account setup and login help, see our SOSPortal transition guide.
Allow time before filing to choose your business structure, confirm the name, and settle ownership and management terms. After approval, banking, tax registrations, and licenses may still be needed. Filing approval and being ready to operate are different milestones.
What Is an LLC?
An LLC is a legal business structure formed under state law. Its federal tax treatment depends on ownership and tax elections; forming an LLC does not automatically determine every tax consequence.
What You Need to Form an LLC?
To register an LLC, you must collect information and complete documentation for the state. The most critical document you must complete is the certificate of formation. Information on the certificate includes:
- The name and address of your LLC;
- The name and address of a designated registered agent;
- A description of the type of management structure of the LLC (member– or manager-managed);
- A statement of purpose; and
- The names and addresses of those organizing the LLC.
Your LLC’s name must be a unique business name that is distinguishable from other existing or registered entities.
An LLC operating agreement documents ownership, management, voting, finances, and exit arrangements. Preparing it is separate from state filing review and deserves attention before owners begin operating together.
How Long Does It Take to Form an LLC in Texas?
Separate your schedule into preparation, state review, and setup after approval. Routine SOSPortal processing varies with workload. The state’s current formation instructions do not promise a fixed number of days for routine review, so use your submission status and current service notices when planning a launch.
1. Preparation
Preparing your idea and the necessary documents to file for your LLC is on your own timeline. The sooner you pick a unique business name, select a registered agent, set up your management structure, and complete a certificate of formation, the sooner you can file.
2. Filing Your Certificate of Formation
The formation process begins when you file your certificate of formation with the Texas Secretary of State (SOS). You can submit the completed form and filing fee (currently $300) in several ways:
- Online filing: submit through SOSPortal. The state recommends online filing for faster processing, but routine filing does not carry a guaranteed approval date.
- Standard expedited: the published target is typically 2–3 business days, with a $50 expedited fee per document in addition to the filing fee.
- Next-day review: Texas Express lists a $500 fee per document plus the filing fee; eligible submissions received by noon are reviewed by the next business day’s close.
- Same-day review: Texas Express lists a $750 fee per document plus the filing fee; eligible submissions received by noon are reviewed by that business day’s close. Confirm current submission rules before paying.
For faster review, compare the Texas Express options, fees, and submission instructions. Expedited review does not guarantee acceptance; errors or name problems can require corrections. Verify current availability during the SOSPortal transition.
3. Receiving Approval of Formation
After acceptance, the state emails the evidence of an online filing. Save it and confirm the effective date. A delayed effective date can differ from the filing date. The SOSPortal status-check instructions below explain where to follow the submission.
4. Factors That Can Impact Processing Time
It is important to note that processing times may also vary depending on:
- The complexity of your business structure. If your LLC has a complex ownership arrangement or multiple subsidiaries, you may need to submit additional documentation and comply with further legal requirements.
- Number of applications and time of year. If you apply during busy seasons or when the SOS has a high number of applications, your LLC registration may take longer to process.
- Name availability. The availability of the desired LLC name can influence the formation timeline, so conducting a thorough review of other business entity names is essential before submitting your application.
How to submit your Texas LLC filing in SOSPortal
- Open the official SOSPortal entry page, review the Rules of Use, and sign in. An old SOSDirect login is not an SOSPortal account; see our SOSPortal login and filing guide if you need account help.
- Select Business Filings, then Start New Filing and Create or Register an Entity. Choose the domestic filing route for a Texas entity and the appropriate LLC entity type. Registering an existing out-of-state LLC is a different filing.
- Complete the formation screens, review the document, and follow checkout instructions. The base filing fee for a standard Texas LLC certificate of formation is $300. Online payment is by ACH or credit card; the state’s card convenience fee is $0.25 plus 2.25% of total fees.
- Save the submission tracking number and payment receipt. Check My Submissions for the filing’s status. Submission and payment do not mean that the Secretary of State has accepted the certificate.
These steps follow the state’s Business Filings Guide and September 2026 Form 205 instructions. A professional LLC uses a different formation form. Review the relevant requirements before choosing an entity type.
Which expedited filing option should you use?
The Texas Express fees below are additional state charges per document. The totals assume a $300 Texas LLC formation filing and exclude card convenience fees, optional orders, and professional fees.
| Review service | Published timing | Extra state fee | Formation plus review fee |
|---|---|---|---|
| Routine SOSPortal filing | Varies with the state’s queue; no fixed launch-day turnaround is stated in the Form 205 instructions | None | $300 |
| Standard expedited | Typically 2–3 business days | $50 | $350 |
| Next-day Texas Express | Received by noon; reviewed by close of the next business day | $500 | $800 |
| Same-day Texas Express | Received by noon; reviewed by close of that business day | $750 | $1,050 |
The Texas Express service page sets the submission methods and cutoff rules. Its published same-day and next-day instructions use in-person delivery or the designated Texas Express email channel; standard expedited instructions address mail or in-person delivery. SOSPortal also includes an expedited-handling step at checkout, but do not assume every service in this table is available through every channel. Confirm the service selected and current delivery instructions before paying for an urgent filing.
Business days exclude weekends and state, national, and agency holidays. Expedited handling accelerates review; it does not guarantee that an incomplete or defective certificate will be accepted. Allow additional time if you miss a cutoff or must correct a rejection.
How to check your Texas LLC filing status
In SOSPortal’s Business Filings application, open My Submissions. Use the status filters and select the submission’s tracking number to view details. The state’s guide describes a view of submissions from the last 90 days. For an older filing or a submission made before the transition, keep your original receipt and tracking information available when requesting help.
If the filing is rejected, read the rejection reason, correct the affected information, and follow the portal’s edit-and-resubmit instructions. The state guide provides a 30-day window for resubmitting a rejected filing. Do not assume a correction is automatically approved or that the original submission date establishes the LLC’s effective date.
If a payment or submission seems missing, check the confirmation and status before filing again. Contact the Corporations Section at CorpInfo@sos.texas.gov with your tracking information if you cannot reconcile the records. Sending the same certificate again can create a duplicate submission without resolving the first one.
Does approval mean my LLC is ready to operate?
Check the state’s filing evidence and effective date first. The certificate can specify a delayed effective date, so the filing date and the date the LLC becomes effective may differ. The Form 205 instructions explain those options.
Formation also does not complete every setup task. Depending on the business, you may still need an EIN, bank account, licenses, tax registrations, and an operating agreement. If the LLC will use a different business name, see our Texas Form 503 assumed-name filing guide.
